These Terms govern the Moxcrm website today and will govern the Moxcrm service at general availability. They are drafted for business users across GCC, India and the rest of the world. For data handling guidelines, please see our Privacy Policy and Cookie Policy.

01Introduction & Acceptance

These Terms & Conditions ("Terms") govern your access to and use of the Moxcrm website (the "Site") and, once generally available, the Moxcrm software service (the "Service"), each operated by EaseHawk Technologies Private Limited ("EaseHawk", "we", "us"), a company incorporated in India with registered office in Rohini, Delhi (CIN: U62011DL2024PTC427769). Moxcrm is offered as part of the Moxsuite product ecosystem.

By accessing the Site, submitting a demo or early-access request, or using the Service when it becomes available, you agree to these Terms and our Privacy Policy. If you are acting on behalf of a company, you represent that you have authority to bind that company, and "you" refers to that company.

02Definitions

"Customer Data" means data submitted to the Service by or on behalf of a customer, including contacts, companies, deals, emails, messages, meeting notes and files. "AI Features" means machine-learning-assisted functionality within the Service, including automated record creation, relationship scoring, forecasting and drafting. "Demonstration Data" means simulated data displayed on the Site for illustration only. "Order" means an ordering document or online purchase flow referencing these Terms.

03Eligibility & Business Use

The Site and Service are intended for business use by persons aged 18 or older. The Service is designed for use by organisations — including dealerships of every kind, agencies, consultancies, manufacturers and service businesses across GCC, India and the rest of the world — and is not directed at consumers or children.

04Pre-Launch Status & Demonstration Data

Moxcrm is currently in a pre-launch phase. All product interfaces, dashboards, scores, names, companies, monetary figures and outcomes shown on the Site are simulated Demonstration Data. They do not describe real customers or guarantee any result. Product capabilities, timelines, pricing and availability described on the Site are indicative and may change or be withdrawn without notice prior to general availability.

Nothing on the Site constitutes a commitment to deliver any feature by any date, and no purchasing decision should rely on forward-looking statements on the Site.

05Early-Access & Demo Requests

When you submit a demo or early-access request, you ask us to contact you about Moxcrm using the details you provide. Submitting a request does not create a subscription, grant access to the Service, or oblige either party to enter into a contract. We may decline, defer or prioritise requests at our discretion during the pre-launch phase.

06The Service (On General Availability)

Upon general availability, the Service will provide customer-relationship-management functionality, including a system of record for contacts, companies and deals, and AI Features that assist with data capture, relationship intelligence and prioritisation. Specific features, tiers and regional availability will be described in the applicable Order and documentation at the time of purchase.

07Accounts & Security

When accounts become available, you are responsible for maintaining the confidentiality of credentials, for all activity under your account, and for ensuring that your users comply with these Terms. You must notify us promptly of any suspected unauthorised access. We may suspend accounts to protect the Service, its users, or Customer Data.

08Acceptable Use

You agree not to: (a) use the Site or Service unlawfully or in breach of applicable data-protection, anti-spam or export laws; (b) upload malicious code or attempt to probe, scan or breach security; (c) access the Service to build a competing product; (d) resell or provide the Service to third parties except as expressly permitted; (e) use the Service to send unlawful or unsolicited communications; or (f) misrepresent your identity or authority.

09Customer Data & AI Features

As between the parties, you own your Customer Data. When the Service is generally available, our processing of personal data within Customer Data will be governed by a Data Processing Agreement ("DPA") and our Privacy Policy that will form part of the contract with each customer.

AI Features produce assistive output. Scores and forecasts are presented in qualitative confidence bands and are advisory only: they support, and do not replace, human judgment. You are responsible for decisions taken on the basis of AI output, and for reviewing automatically created or drafted records before relying on them in commercial or legal contexts.

10Intellectual Property

The Site, the Service, and all associated software, designs, text and graphics are owned by EaseHawk or its licensors and are protected by intellectual-property laws. "Moxcrm", "Moxsuite" and associated logos are marks of EaseHawk. No rights are granted except as expressly stated. Feedback you provide may be used by us without restriction or obligation.

[COUNSEL REVIEW: Trademark clearance and registration for the MOXCRM mark (UAE Ministry of Economy, Saudi SAIP, WIPO/TMview — Nice Classes 9, 42, 35) is a pre-launch gate and must be confirmed before these Terms are published.]

11Third-Party Services & Integrations

The Service may interoperate with third-party services (for example email providers and messaging platforms) that you choose to connect. Your use of third-party services is governed by their own terms and privacy practices (see our Cookie Policy for browser storage details). You represent that you have all rights and consents needed to connect such services and to process the data they provide through Moxcrm.

12Fees & Payment

The Site does not currently offer paid subscriptions. Fees, billing terms, taxes and refund terms will be set out in the applicable Order when commercial availability begins.

13Disclaimers

The Site and (until expressly stated otherwise in an Order) the Service are provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory or otherwise, including any implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Site or Service will be uninterrupted, error-free or secure, or that AI output will be accurate or complete.

14Limitation of Liability

To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue, goodwill or data; and (b) each party's aggregate liability arising out of or relating to these Terms will not exceed the greater of the amounts paid or payable by you for the Service in the twelve months preceding the claim or [AMOUNT — COUNSEL TO SET FLOOR].

15Indemnity

You will defend and indemnify EaseHawk against third-party claims arising from your Customer Data, your use of the Service in breach of these Terms, or your violation of law. When commercial terms begin, EaseHawk will provide a customary IP-infringement indemnity for the Service as set out in the applicable Order.

16Suspension, Term & Termination

These Terms apply while you use the Site and, for the Service, for the term stated in the applicable Order. We may suspend or terminate access to the Site immediately for breach, security risk, or unlawful use. On termination of a future subscription, provisions that by their nature should survive (including IP, confidentiality, disclaimers, liability limits and governing law) will survive, and Customer Data export and deletion will be handled as described in the Order and DPA.

17Governing Law & Dispute Resolution

These Terms are governed by the laws of India, and the courts at New Delhi have exclusive jurisdiction, subject to the dispute-resolution process below. The parties will first attempt good-faith resolution of any dispute for 30 days from written notice.

18Changes to These Terms

We may update these Terms from time to time. For material changes affecting active customers we will give reasonable advance notice by email or in-product notice. The "Effective date" above records the current version. Continued use after the effective date of changes constitutes acceptance.
